| Use Term |
When you, as and individual and/or legal entity, access this PORTAL, you will be adhering to this Use Term (TDU), which rules the use conditions of the pages maintained by Braskem S.A. ("Braskem"). So, you will be undertaking to respect, under any circumstance of fact or right, the following rules:
1) This TDU will be fully available at the PORTAL in all pages maintained by Braskem, from the initial page, available at the address http://www.braskem.com.br. The pages maintained by Braskem are identifiable by the address http://www.braskem.com.br.
2) In view of the dynamism of the relationships at the Internet and the respective reflexes, you accept that this TDU and the services and utilities available therein ("SERVICES") may be modified by Braskem at any time, irrespective of previous notice to you, and the changes shall become applicable from the date they are divulged at the PORTAL.
3) The PORTAL may require information about you by means of forms, cookies or other. You guarantee that the information you supply will be true, precise, current and complete, being responsible for maintaining them this way.
4) You authorize Braskem to use or to allow third parties to use the data You have supplied at the PORTAL in order to send to you information about subjects or topics related to the PORTAL or to sites directly or indirectly accessible from it. Such uses of data shall comply with usual standards of reasonability, pertinence and confidentiality, according to the PORTAL"s Privacy Policy available at the PORTAL"s initial page.
5) You acknowledge that the SERVICES were sufficiently described at the pages maintained by Braskem and that Braskem complied with the duty to inform that was expected in the circumstances.
6) You acknowledge that Braskem is not responsible for the use of the SERVICES chosen by you, for the respective advisory or for any type of result that you might expect to reach upon the use of the SERVICES, including the purchase of any goods or benefits ("PRODUCTS") from the use of the SERVICES.
7) Braskem commits itself to putting its best efforts to ensure the safety, continuous availability and quality of the information divulged by the SERVICES. You acknowledge that Braskem may not be, anyway, considered responsible for causes beyond its best efforts, economically reasonable, as to integrity, currency and exactitude of such information.
8) You understand that due to the features inherent to the Internet environment, Braskem has no conditions to guarantee that the access to the PORTAL and to the SERVICES is free of problems occasioned by internal or external fortuitous cases, force majeure cases or other cases not totally subject to the direct control by Braskem. In these conditions, you commit yourself to exempting Braskem in any suit brought by you or third parties relating interruptions, interceptions, invasions, pitching, dissemination of virus or other illicit acts.
9) You acknowledge that the SERVICES and any text, audio, image or software ("CONTENTS") divulged by them on pages maintained by Braskem are protected by intellectual property rights ("INTELLECTUAL PROPERTY"), including, but not limited to copyrights (moral and patrimonial rights), rights on marks, patents, trade names, dominion names, establishment titles and industrial and commercial secrets;
10) Braskem authorizes you to use the CONTENTS only for the purposes of using the SERVICES, on a non-exclusive basis, and only during the access to the PORTAL. Said authorization shall not be interpreted as a license or assignment according to the terms foreseen by the law.
11) The PORTAL may present works of intellectual property belonging to third parties that have licensed the respective availability at the PORTAL, and Braskem is not authorized by the same to grant or license the respective use, therefore you should seek the approval of the same before any intended use. In case of doubt, you should previously consult Braskem by means of the contact channel available at the PORTAL.
12) You undertake not to reproduce, change, perform reverse engineering, compile, decompile, transmit, publish, sublicense, allow, authorize, rent, sell and/or distribute or, in some other way not allowed in this TDU, use or transfer, in all or in part, any CONTENTS directly or indirectly related to this TDU without the previous and express authorization in writing by Braskem.
13) You will be solely and fully responsible for any damages directly or indirectly caused to third parties because of your failure to observe the duties relating INTELLECTUAL PROPERTY or the obligations foreseen in the above items 9, 10, 11 and 12, being responsible for keeping Braskem exempt from any suits relating the INTELLECTUAL PROPERTY and such obligations.
14) If Braskem develops customized screens for you or your company or institution, the intellectual property of such screens will belong exclusively to Braskem. However, Braskem will not assume any commitment in respect to the maintenance of the pages by Braskem, the respective choice being at the sole discretion of this latter.
15) If Braskem makes available to you or to your company or institution an exclusive mail box, this will be ruled by the PORTAL"s Privacy Policy available at the initial page of the same.
16) Braskem may make available an auto-service of guidance as to the use of the PORTAL. Said SERVICE shall be permanently available. Braskem, however, does not guarantee the continuous availability. Said SERVICE will be limited to basic information and shall not comprise guidance as to pages not maintained by Braskem or as to the use of computing resources purchased or obtained by you or your company or institution.
17) You acknowledge that if Braskem makes available at the PORTAL the option to download documents of interest, you shall not use said documents in other media, except for the memory of the computer into which you had made the download. Any exception to this rule shall be expressly indicated at the PORTAL or be the subject of specific authorization, in writing, by Braskem.
18) In the limited access areas, you shall observe the internal access level rules defined by your company or institution and informed by the same to Braskem. If you are the System Manager of your company or institution, you shall follow the specific norms Braskem informed in writing to you or to the board of directors of your company or institution.
19) The PORTAL may contain links for sites of banks, companies that manage credit cards or other financial intermediaries, including for the purposes of commercial or financial transaction clearing and for Internet banking services. The PORTAL will not be at all responsible for the services offered by such intermediaries, which shall be considered as hired by you or your company or institution. The same shall apply to any links at the PORTAL for any associations or entities, either private or governmental, or for any companies of the areas of logistics, insurance, organization of events, travel agencies, transports and others.
20) The PORTAL may make available news, articles or publishing compiled or written by third parties. The PORTAL shall not be responsible for the exactitude, origin and authorship of said materials.
21) If you or your company or institution make available at the PORTAL any information about your products or services, including list of prices, freights, technical specifications, transport routes, availability of insurance or guarantees or any other, you and your company or institution will be solely responsible for the respective updating and exactitude.
22) The PORTAL may originate electronic communications and even an Electronic Magazine. You shall register if you want to receive them and shall require, in writing, your exclusion from the list of distribution if you no longer want to receive them.
23) The information about Braskem are available at the PORTAL for different groups of people, according to their nature, being destined to shareholders or investors, suppliers, clients or third parties in general. In some areas of the site, the access will be limited. To access them, you shall have a user name ("LOGIN") and an access password ("PASSWORD"), both individual and secret, and you will be solely responsible for keeping the same and for the misuse or for allowing third parties to access the same.
24) Braskem will make available a LOGIN and a "manager password" to a member/employee formally appointed by means of registered letter sent to Braskem by the company/client as main responsible, for free access to the limited areas. The manager appointed by the company/client shall sign a receipt of delivery of the provisional password for the first access (making reference to this Use Term) and, from then on, create his/her own passwords without any knowledge or control by Braskem. This "manager password" will be under the responsibility of the company/client and of the employee appointed by the company, who may manage the creation and distribution of profiles of access and passwords to other members/employees of the company. The "manager password" will also allow that the one responsible for it edits and block up the access profiles. Braskem will neither be informed, nor will it supervise the safety policies and practices adopted by the company/client. The password manager may create up to 10 (ten) profiles and distribute them among his/her members/employees. So, Braskem will not be responsible for the creation and internal distribution, in the companies, of access profiles and passwords, for the use, updating, maintenance or safety and for the blocking up of the same. Braskem may, at any time, stop the general access of the company/client, including that of the system manager and/or any other employee for any reason that comes to its knowledge.
25) The PORTAL may be accessed by means and services of access directly provided by Braskem, companies hired by Braskem or companies that access it.
26) The rules contained in this TDU may be complemented by specific rules present in other parts of the PORTAL due to reasons of pertinence and specificity in respect to groups of people with individual needs or interests.
27) The PORTAL may make available the reproduction of technical reports issued by third parties and relating its products or services and, in this case, you shall consider that said transmission will be made passively, under institutional concept only, not being destined to advertising, publicity or commercial purposes. Said report shall be also considered as being pertinent to the sampling submitted to the issuing entity of the same and are not presented with the purpose of implying their reference to any and all other sampling.
28) You will be responsible for supplying any technical specifications, including codes of products, if you want to obtain from Braskem, by means of the PORTAL, any information about comparison to products or services of Braskem.
29) The tolerance to your failure to comply with any duties foreseen in this TDU or in the applicable legislation does not imply Braskem"s renunciation to the exercise of the respective rights. The legalization of your access to the PORTAL presupposes that you also observe the duties of good faith and compliance with moral and good manners acknowledged in the Internet. In case of violation to the duties mentioned in this item, Braskem may interrupt your access to the PORTAL, at any time, without the need of previous notice.
30) Any violation, by you, to the rules contained in this TDU will occasion, when applicable, Braskem"s initiative to apply, before the proper authorities, eventually applicable sanctions, with no prejudice to the search, by Braskem or by any eventually affected third parties, for liability for any damages.
31) You acknowledge that Braskem may, at any time, limit, to a limited scope, the access to any parts of the PORTAL, interrupt or end the rendering of any SERVICES, define that the respective availability starts to be under the modality "paid" or change the terms of this TDU at its discretion. Braskem will make available at the PORTAL a previous notice with the practicable antecedence.
32) You acknowledge that Braskem will not have any duty, burden or obligation of supervising the pages not maintained by it, or the respective links, frames, metatags or keying, not being responsible for the contents or for the corresponding activities.
33) You acknowledge that electronic files and messages are evidence means legally accepted for all purposes upon the use of computing resources that allow the respective audit or circumstantial evidence.
34) You undertake not to register any dominion names at Internet before any recording agencies, either national or international, containing marks of Braskem or of its products or services.
35) You undertake to respect the marks of Braskem or of its products or services in any situation and, in no event, use them without the previous authorization in writing of Braskem or practice acts that may denigrate or dissolve said marks.
36) In respect to links, the previous written authorization of Braskem is indispensable and the following additional conditions shall be also respected: a) the link may only allow the access to pages of the PORTAL and may not lead to pages with any reproduction of the same; b) links with another page of the PORTAL other than the initial page may not be established; c) neither a browser nor a border environment on the PORTAL pages shall be created; d) it should neither be declared nor given to understand that Braskem supervises or somehow assumes the contents or services offered or placed at the disposal of the page in which the link for the PORTAL is established; e) except for the signs that are a part of the link, the page in which the link is established will not contain any mark, commercial name, establishment title, name, logotype, slogan or other distinctive signs belonging to or relating Braskem; f) the page in which the link is established will neither contain illicit information or contents contrary to the moral and good manners, as generally accepted, in special to norms of behavior in the Internet, nor will it contain contents contrary to any rights of third parties or to the public order. The establishment of link neither implies, in any way, the existence of commercial relations or legal-contractual bindings between Braskem and the owner of the page in which the link is established, nor the acceptance and approval, by Braskem, of its contents or services.
37) As for frames, you shall observe the same rules appearing in the previous item related to links and shall allow the easy identification, by the visitors of the page in which the frame is established, that the frame is not originally a part of the page in which it has been established.
38) As for metatags and keying, you shall guarantee the previous written agreement by Braskem before any contact with Internet search engines and/or advertisers.
39) The delimitation of the scope of the guarantees and responsibilities in this TDU represents an essential condition for the access, by you, to the PORTAL and to the SERVICES, and Braskem shall be considered free of any commitment and obligations if said delimitation is, for any reason, not considered or ignored. In case of any non-conformity between information and data appearing at the PORTAL and those appearing in other communications or systems of Braskem, the latter will prevail.
40) This TDU will be ruled exclusively by the Brazilian laws and any issues arising out of this TDU that can not be amicably solved between you and Braskem, if taken to the court, shall be proposed at the Forum of the County of São Paulo - SP with express renunciation to any other one, the most privileged it might be, even though you are domiciled or your company or institution is headquartered overseas.
